Platform Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VetEngage platform, software, and related services (collectively, the "Services"). Please read these Terms carefully before using our Services.

You acknowledge and agree that these Terms are accepted electronically and form a binding legal agreement upon your first access to or use of the Services, including by clicking "I Agree," creating an account, or similar assent mechanism.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a veterinary practice, clinic, or other organization ("Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms, and references to "you" or "your" refer to both you individually and the Organization.

 

1. Services Description

VetEngage provides a cloud-based platform designed specifically for veterinary practices to manage client engagement, appointments, communications, and practice analytics. Our Services may include:

  • Online booking and appointment management
  • Client communication tools (email, SMS/text, voice, campaigns)
  • Digital forms and intake management
  • Practice management system (PIMS) integrations (e.g., Cornerstone, AVImark, ImproMed, and others via Bitwerx or direct APIs)
  • Analytics, reporting, and dashboards
  • AI-assisted scheduling, recall, and client engagement tools
  • Loyalty and rewards programs
  • Other features as described in your applicable subscription agreement, Order Form, or Statement of Work ("SOW")

The Services are not intended to provide veterinary medical advice, diagnosis, treatment recommendations, or substitute for professional veterinary judgment. VetEngage is a technology platform and does not practice veterinary medicine. All clinical decisions, patient care, medical record accuracy, and compliance with veterinary laws remain the sole responsibility of licensed veterinary professionals and your clinic. You and your licensed veterinarians are solely responsible for compliance with all applicable veterinary regulations and medical record retention obligations.

SMS/Text Messaging Compliance. Our SMS features are provided through third-party carriers such as Telnyx and are subject to 10DLC registration and TCPA requirements. By using SMS features, you represent that you have obtained all necessary prior express written consents from recipients. We maintain records of opt-in consent (including date, time, source, and method) but do not share mobile numbers or SMS opt-in information with third parties or affiliates for marketing or promotional purposes except as strictly necessary to provide the Services or as required by law. Full details are in our Privacy Policy. You agree to comply with all "STOP" and "HELP" opt-out mechanisms and not to use the Services for unsolicited messages.

 

2. Eligibility and Account Registration

You must be at least 18 years old and authorized to enter into contracts on behalf of your Organization to use the Services. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

 

3. Subscriptions and Payments

Access to certain features requires a paid subscription. Pricing, billing cycles, and payment terms are set forth in your applicable Order Form or SOW. All fees are non-refundable except as expressly provided therein. You authorize us to charge your payment method for all fees. Late payments may incur interest and may result in suspension of the Services.

 

4. Acceptable Use

You agree not to use the Services in any manner that:

  • Violates any applicable law, regulation, or veterinary board rules (including TCPA, CAN-SPAM, and data privacy laws)
  • Infringes third-party rights
  • Transmits harmful code, spam, or unsolicited communications
  • Interferes with the security or operation of the Services
  • Reverse engineers, decompiles, or attempts to access source code (except as permitted by law)

We reserve the right to suspend or terminate access for violations.

 

5. User Content and Data Ownership

You retain ownership of all data, content, and materials you upload, submit, or generate through the Services ("Client Data"), including client information, PIMS data, communications, recalls, and appointment history.

You grant VetEngage a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and use Client Data solely as necessary to provide, improve, and support the Services. This includes using de-identified or aggregated Client Data for AI model training, analytics, and service improvement. VetEngage owns all trained models, algorithms, and derived intellectual property.

During migration from legacy systems (such as AllyDVM or other PIMS), VetEngage may ingest historical communications, recalls, 2-way texts, and related data to accelerate model performance for all customers. You warrant that you have the necessary rights to provide such data for this purpose.

You are solely responsible for the accuracy, legality, and compliance of Client Data. For PIMS integrations, you authorize us to access, retrieve, and write back data as configured, and you warrant that such access complies with your PIMS terms and applicable laws.

AI Features. AI tools are assistive only and do not replace professional judgment. Outputs must be reviewed by licensed professionals. We do not train third-party models on identifiable client data without explicit consent.

 

6. Intellectual Property

VetEngage and its licensors retain all right, title, and interest in the Services, software, documentation, and all related intellectual property. You receive a limited, non-exclusive, non-transferable license to use the Services during the Term solely for your internal business purposes. You may not sublicense, resell, or create derivative works.

 

7. Third-Party Integrations and Services

The Services may integrate with third-party PIMS, payment processors, carriers (e.g., Telnyx), and other tools. We are not responsible for third-party services, and your use of them is governed by their terms. Data shared with third parties is subject to our Privacy Policy.

 

8. Term and Termination

These Terms begin on the date you first access the Services and continue for the duration of your subscription term as set forth in your SOW or Order Form (the "Term"). Upon expiration or termination, you must cease use of the Services. We may terminate or suspend your access for breach, non-payment, or other violations with or without notice where permitted by law.

Upon termination, you may export your data as provided in the Services (subject to any retention policies). Veterinary clinics remain responsible for maintaining required medical records post-termination.

 

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR SPECIFIC REQUIREMENTS. AI FEATURES ARE PROVIDED FOR CONVENIENCE ONLY AND DO NOT CONSTITUTE MEDICAL ADVICE.

 

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VETENGAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

 

11. Indemnification

You agree to indemnify, defend, and hold harmless VetEngage, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from (i) your use of the Services, (ii) your User Content, (iii) violation of these Terms, or (iv) your violation of applicable laws or veterinary regulations.

 

12. Consent to Communications

By using the Services, you consent to receive electronic communications, including emails, SMS, and in-app notifications related to your account, billing, and service updates. For marketing communications, you may opt out as described in our Privacy Policy. SMS consent is governed by our Privacy Policy and TCPA/10DLC requirements.

 

13. Privacy

Your privacy is important to us. Please review our Privacy Policy, which is incorporated by reference.

 

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Dallas County, Texas. You agree to waive any right to jury trial.

 

15. General Provisions

  • No Waiver: Failure to enforce any provision does not constitute a waiver.
  • Severability: If any provision is held invalid, the remainder remains in effect.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
  • Entire Agreement: These Terms, together with any SOW/Order Form and the Privacy Policy, constitute the entire agreement.

 

16. Changes to Terms

We may modify these Terms from time to time. Material changes will be notified by email or prominent notice at least thirty (30) days in advance. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services and contact us to terminate your account.

 

17. Veterinary and AI Specific Provisions

You acknowledge that the Services support but do not replace veterinary professional standards. All patient care decisions must be made by licensed veterinarians. AI outputs are suggestive and require human review. You are responsible for verifying accuracy of all data, forms, and communications.
